1. Who these terms are with

These terms govern your use of the iTradeCircle network and this website, operated by [REGISTERED COMPANY NAME], company number [COMPANY NUMBER], registered at [REGISTERED ADDRESS] (“iTradeCircle”, “we”, “us”). By registering your trade interest with us, you agree to them.

2. What iTradeCircle is

iTradeCircle is an independent introduction service. We collect trade interest from UK businesses, verify who they are, and introduce buyers to suppliers whose stated positions match.

We are not a marketplace, a broker, an agent, or a party to any transaction. We do not hold stock, handle payment, arrange delivery, or guarantee that any trade will take place. Everything you agree with another business is between you and them.

3. Who can use it

The network is for businesses registered in the United Kingdom that trade in mobile devices. By registering you confirm that you are acting for such a business and that you are authorised to do so. It is not for consumers.

4. Verification, and its limits

We check the company registration number you give us against the public register and confirm your declared trading name, location and position.

Verification reduces uncertainty but does not guarantee a member or transaction. It is not a credit check, a solvency assessment, an endorsement, or a warranty about the quality, legality or availability of any stock. You remain responsible for your own due diligence on anyone we introduce you to.

5. Your responsibilities

Give accurate information about your business, your position and your volumes.
Keep it up to date, and tell us if it changes or no longer applies.
Carry out your own checks before entering into any trade.
Comply with all laws that apply to you, including tax, customs, consumer protection and anti-money-laundering obligations.
Do not use the network to deal in stolen, counterfeit, blocked or otherwise unlawful goods.
Do not misuse information about other members, including passing their details to third parties or using them for unrelated marketing.

6. Cost

Registration is currently free and there is no subscription. We take no commission on any trade you do. If we introduce charges in future, we will tell you before they apply to you.

7. Product references and Apple

Independent B2B platform. Not affiliated with or endorsed by Apple Inc.

References to future iPhone models describe anticipated trade interest in a product that Apple has not announced. Specifications, pricing, availability and timing are unknown and may never materialise. Nothing on this site is a statement about Apple's plans. Product names and trademarks belong to their respective owners.

8. Availability

We aim to keep the service available but do not guarantee uninterrupted access. We may change, suspend or withdraw any part of it, and we may end your access if you break these terms or misuse the network.

9. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

Subject to that, and because this is a business-to-business service, we are not liable for loss of profit, loss of business, loss of contracts, loss of anticipated savings, or any indirect or consequential loss. We are not liable for the acts, omissions, solvency or conduct of any business we introduce you to, nor for any transaction you enter into with them.

Our total liability arising out of or in connection with the service is limited to [LIABILITY CAP, e.g. GBP 100].

10. Your data

How we handle the information you give us is set out in our Privacy Policy, which forms part of these terms.

11. Changes

We may update these terms. The date at the top shows when they last changed. If a change is significant we will tell registered members directly. Continuing to use the network after a change means you accept it.

12. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
